These Terms & Conditions (“Terms”) govern your access to and use of Zugo’s websites, applications, products, and services, including carpooling discovery features and messaging programs (collectively, the “Services”). “Zugo,” “we,” “us,” and “our” refer to the Zugo entity operating in Canada.
By accessing or using the Services, you agree to these Terms and to our Privacy Policy at https://zugo.info/privacy-policy.
1) Scope and Definitions
- Account” means a registered user profile used to access the Services.
- “Driver” means a user who independently offers rides to others and meets applicable legal and insurance requirements.
- “Rider” means a user who requests or takes rides from a Driver.
- “User Content” means content you submit through the Services (e.g., profiles, messages, photos, ratings, feedback).
These Terms apply to use of the Services in Canada and are supplemented by any policies and disclosures referenced herein.
2) Eligibility and Accounts
You must be the age of majority in your province or territory to use the Services (or have verifiable parental/guardian consent where permitted). Drivers must hold a valid driver’s licence, maintain all required insurance, and meet all applicable municipal and provincial requirements.
You are responsible for your login credentials and all activity under your Account. You agree to provide accurate, current information and promptly update changes.
3) Nature of the Services — Referral & Introduction Only
3.1 What Zugo Is
- Zugo is a digital referral and communications platform that introduces potential Riders to independent Drivers who may wish to share rides (including cost‑sharing carpools where allowed by law). Zugo does not provide transportation, logistics, dispatch, or common carrier services, and is not a transportation network company, taxi, or limousine service.
3.2 What Zugo Is Not
Zugo is not a party to any contract, agreement, or arrangement between a Rider and a Driver. Drivers act independently and are not employees, agents, or representatives of Zugo. Zugo does not control Drivers, vehicles, routes, pricing between users, timing, acceptance or cancellation of rides, or on‑road conduct, and disclaims responsibility for the acts or omissions of any user, to the fullest extent permitted by law.
4) User Conduct & Safety
ou agree to use the Services lawfully and respectfully. Without limitation, you will not:
Harass, threaten, or harm others;
Carry weapons, alcohol, illegal drugs, or hazardous materials in violation of law;
Discriminate or engage in abusive, hateful, or obscene conduct;
Tamper with, interfere with, or attempt to bypass security of the Services;
Misrepresent your identity, licensing, insurance, or eligibility.
Emergency Use. The Services are not a substitute for emergency services. In an emergency, call your local
5) Rider Terms
Riders must:
Comply with seatbelt and child‑restraint laws;
Treat Drivers and vehicles with care;
Avoid conduct that compromises safety or comfort;
Pay any fees, tolls, or surcharges disclosed at booking or agreed with a Driver;
Avoid repeated no‑shows or policy violations; these may lead to account limits or termination.
6) Driver Terms
Drivers must:
Maintain a valid driver’s licence, vehicle registration, and insurance required by law;
Keep vehicles roadworthy and clean;
Comply with applicable municipal bylaws and provincial rules (including any carpool/cost‑sharing limitations and distracted‑driving laws);
Accurately represent routes, timing, and availability;
Confirm with your insurer that your coverage permits any contemplated rides (some personal policies exclude carrying paying passengers unless properly endorsed or commercially insured).
Drivers are solely responsible for their passengers and for complying with tax, insurance, licensing, and regulatory obligations.
7) Fees, Payments, and Taxes
Fee types (e.g., service or cancellation fees) are disclosed on the website or at booking and may vary by city and time. If Zugo facilitates payments, you authorize the payment processor to charge your selected method. Taxes apply as required by law. Refunds are handled per the policy presented at booking and applicable law.
Referral model clarification. Where applicable, Zugo may charge or receive referral, listing, or platform fees. Any payment for a ride is ultimately between Rider and Driver; if Zugo facilitates funds flow, it does so as a limited payment collection agent for the Driver, without assuming carrier duties.
8) Cancellations & No‑Shows
Cancellation windows and any fees are presented on the website or at booking. Repeated cancellations or no‑shows may result in fees and/or account limitations.
9) Ratings, Reviews & Feedback
Users may rate and review rides. You grant Zugo a perpetual, worldwide, royalty‑free licence to use, reproduce, display, and distribute your ratings, reviews, and feedback for operating and improving the Services, subject to our Privacy Policy.
10) Insurance & Claims
- Zugo is not an insurer and does not provide insurance to users unless expressly stated in writing.
- Drivers: ensure your insurance covers any contemplated rides, including cost‑sharing and any municipal/provincial requirements (some personal policies exclude carrying paying passengers).
- Users: Work directly with your insurer regarding incidents or claims. Zugo may, at its discretion, facilitate information exchange between users and insurers.
11) Third‑Party Services
The Services may integrate third‑party services (e.g., maps, payments, identity verification). Zugo does not control, endorse, or assume responsibility for third‑party services. Additional terms and privacy notices may apply.

13) SMS Program Terms (Canada / Carrier‑Compliant & CASL‑Aligned)
Program types:
Ride & Account Notifications: requests/confirmations, arrival notices, pickup/drop‑off updates, schedule changes, cancellations, receipts, password/security alerts, and account notices.
Service & Policy Notices: platform updates, policy changes, outages, safety reminders.
Customer Support: two‑way support conversations initiated by you or Zugo.
Marketing & Promotions (optional): offers, surveys, and promotions only if you separately opt in where required.

Commercial electronic messages will include sender identification and a functional unsubscribe mechanism; unsubscribes are processed without delay and within timelines required by law.

14) Intellectual Property; Licence
Zugo and its licensors own all right, title, and interest in the Services, including software, trademarks, logos, and content. Subject to these Terms, Zugo grants you a limited, revocable, non‑exclusive, non‑transferable licence to use the Services for their intended purpose. You may not copy, modify, reverse‑engineer, or create derivative works from the Services.
15) Prohibited Uses
You may not:
Access the Services using automated means not provided by Zugo;
Attempt to bypass security, rate limits, or integrity controls;
Infringe the rights of others or upload malicious code;
Use the Services to stalk, harass, or otherwise harm people;
Commercially exploit the Services except as expressly permitted.
16) Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided “as is” and “as available.” Zugo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. Zugo does not guarantee uninterrupted or error‑free operation, availability, or accuracy.
17) Allocation of Risk & Limitation of Liability
To the fullest extent permitted by law, Zugo and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits or data, arising from or related to the Services or these Terms, even if advised of the possibility. Zugo’s aggregate liability to you is limited to the greater of (a) CAD $100 or (b) the amounts you paid to Zugo in the 12 months preceding the claim.
Québec consumers: Under the Civil Code of Québec, liability cannot be excluded for bodily or moral injury, or for intentional or gross fault; any clause to the contrary does not apply. Where provincial law mandates protections, these Terms are read to respect those limits.
18) Indemnification
You agree to indemnify and hold harmless Zugo, its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of law or third‑party rights; or (d) your User Content.
19) Suspension & Termination
Zugo may suspend or terminate your access to the Services at any time for conduct that, in Zugo’s reasonable judgment, violates these Terms, presents a safety or security risk, or exposes Zugo or others to liability. You may delete your Account at any time. Sections that by their nature should survive termination (including 14–18, 20–25) will survive.
20) Changes to the Services & Terms
We may modify the Services or these Terms from time to time. Material changes will be communicated via the Services or by email prior to the effective date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
21) Governing Law, Venue & Local Consumer Protections
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict‑of‑laws principles. The courts located in Ontario have exclusive jurisdiction, except where consumer protection law requires otherwise.
If you reside in a province whose law mandatorily applies to you as a consumer, these Terms are read to give effect to those protections.

23) Language; Québec “French‑First” Rule
The parties confirm that these Terms and all related documents are in English. For Québec consumers, Zugo will comply with French‑language requirements and provide a French version on request or as otherwise required.
24) Miscellaneous
- Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect.
- Assignment. You may not assign these Terms without Zugo’s prior written consent; Zugo may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
- Entire Agreement. These Terms, together with the Privacy Policy and incorporated policies, form the entire agreement between you and Zugo regarding the Services.
- No Waiver. Failure to enforce any provision is not a waiver.
- No Third‑Party Beneficiaries. Except as expressly stated, there are no third‑party beneficiaries.
